Omnipair Calendar
Terms of Service
Effective September 4, 2026
These Terms of Service (“Terms”) govern your access to and use of Omnipair Calendar (the “Service”), operated by Omnipair (“Omnipair,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
1. The Service
The Service is a business collaboration tool that combines approved Omnipair team calendar information, partner deliverables, and invited meetings in a unified calendar. The Service is not a public calendar or self-service account platform. Features may vary based on your assigned role and organization.
2. Eligibility and authority
You may use the Service only if Omnipair has approved your account and you are legally capable of entering into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
3. Accounts and access
You sign in through Google and are responsible for maintaining the security of your Google account and devices. You must provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You may not share access, impersonate another person, or try to obtain permissions not assigned to you.
We may approve, deny, limit, suspend, or revoke access when reasonably necessary to protect the Service, its users, or Omnipair; enforce these Terms; comply with law; or administer our business relationships.
4. Acceptable use
You must not:
- use the Service unlawfully, fraudulently, or in a way that violates another person’s rights;
- upload malicious code or content, interfere with the Service, or bypass security or access controls;
- probe, scan, scrape, reverse engineer, or attempt unauthorized access except where law expressly permits;
- submit confidential or personal information you are not authorized to share; or
- use calendar or partner information for surveillance, advertising, data brokerage, or unrelated purposes.
5. Your content
You retain ownership of content you submit, such as deliverable titles, due dates, and links. You grant Omnipair a limited, non-exclusive license to host, process, reproduce, and display that content only as needed to operate, secure, and improve the Service. You represent that you have the rights and permissions needed to submit the content and make it available to its intended authorized users.
6. Privacy and confidentiality
Our Privacy Policy explains how we handle personal information and Google user data and is incorporated into these Terms. Calendar information, partner deliverables, and other non-public information available through the Service may be confidential. You may use and disclose it only as authorized by its owner, your organization, and applicable law.
7. Google and third-party services
The Service interoperates with Google Sign-In and Google Calendar and may link to other websites or services. Your use of third-party services is governed by their own terms and privacy policies. Omnipair does not control and is not responsible for third-party services. Google is not responsible for the Service and does not sponsor or endorse it.
8. Omnipair rights
The Service, including its software, design, and Omnipair branding, is owned by Omnipair or its licensors and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. If you provide feedback, we may use it without restriction or obligation.
9. Service changes and availability
We may update, modify, suspend, or discontinue all or part of the Service. We aim to provide a reliable Service but do not promise that it will always be available, uninterrupted, secure, or error-free. You are responsible for maintaining copies of information you need and for verifying important dates and details at their original source.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Omnipair disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. Calendar information may be delayed, incomplete, duplicated, or affected by third-party services. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, Omnipair and its affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, use, or data arising from or related to the Service, even if advised that such damages are possible.
To the maximum extent permitted by law, Omnipair’s total liability for all claims arising from or related to the Service will not exceed the amount you paid, if any, to use the Service during the 12 months before the event giving rise to the claim. These limitations do not apply where liability cannot lawfully be limited or excluded.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or no longer have an approved business need for access. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limitations, and confidentiality— will survive.
13. Changes to these Terms
We may update these Terms to reflect changes to the Service, law, or our practices. We will update the effective date and provide additional notice where required. Your continued use after updated Terms take effect means you accept them. If you do not agree, you must stop using the Service.
14. General terms
These Terms and the Privacy Policy are the entire agreement regarding the Service unless a separate written agreement between you and Omnipair applies. If there is a conflict, that separate agreement controls to the extent of the conflict. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, merger, acquisition, or asset transfer. Applicable mandatory law and the courts with lawful jurisdiction over Omnipair govern disputes relating to these Terms.
